Registered Agent Services
A Registered Agent is charged with many responsibilities. But, at its core, a Registered Agent is designated to receive service of process notices, correspondence from the Secretary of State, and other official documents on behalf of a business entity. All LLCs and corporations within the State of Florida are required to appoint a Florida Registered Agent when completing the entity formation process with the Division of Corporations. Along with its core duties, a Registered Agent can assist with local and state annual filings and communicate directly with the business’ key representatives.
As a Florida Registered Agent (RA) service, we provide all of our clients with more than the required statutory responsibilities. Whether we are hired as an RA for your own company or your clients’ company, we will treat the business like it’s one of our own.
Service Benefits
There are numerous advantages to using a registered agent service to act as a representative of your business. DBCS provides its clients in Florida with a number of advantages, such as:
Personal Privacy
Personal information in the public record leaves you exposed to unwanted attention. We can form your entity and keep your information secure.
Protecting Reputation
Legal documents are served during business hours at the premises. As your agent, we can accept these for you, keeping the office uninterrupted.
No Headaches
Individuals and small businesses tend to change locations often. Each move will require a costly filing update with the Secretary of State. We can save you the headache, and the money.
Compliance
Carefully tracking entity status and filing requirements can be tedious. As the Florida registered agent, we can monitor and inform you of upcoming deadlines and ensure an entity’s good standing is never lost.
Frequently Asked Questions
Why do I need a Registered Agent?
In every state, when you form a business entity, you will be required to appoint a Registered Agent. By law, before a lawsuit or other legal action can move forward in the courts, all parties must be properly notified. Registered Agents serve as a way to ensure your business is properly notified. Registered Agents also serve as a main point of contact with the state. When the state needs to communicate with or send tax forms or annual reports to your business, it will do so through your Registered Agent.
Can I be my own Registered Agent?
In short, yes. But, be cautious. As your own Registered Agent, you must be available at your business’ location during normal business hours, five days a week. This also means being responsible for tax forms and tracking annual report dates with the state. This is something most owners have trouble with since they’re busy running their businesses. The one upside to not hiring a registered agent is you’ll save the annual fee. But the freedom you gain from hiring one often makes up for the expenditure.
Are there penalties for not appointing a Registered Agent?
According to Florida’s Registered Agent statutes, the failure to comply timely or fully with an order directing that a registered agent be appointed and that a registered office be designated will result in a civil penalty of not more than $1,000 for each day of noncompliance.
How does DBCS communicate as a Registered Agent?
All documents that we receive are locally processed, copied, and uploaded to a digital account that we create for you. When making copies, we will read through the documents to create a synopsis of what it is being received, how it impacts your business, and any action that may need to be taken. A copy of each document, along with our overview, will also be mailed to your business location to keep on file.
